CCH is now looking to work with a financial advisor to carry out financial due diligence on a potential merger organisation. This work will involve, but will not necessarily be restricted to, the review of the following areas of a potential merger organisations business: •Audited financial statements and any subsidiary undertakings (last 3 years); •External Audit Letters and associated Board reports (last 3 years); •Internal Audit Reports and associated Board reports (last 3 years); •Management accounts, budgets and cash flows (last 12 months); •Approved Business Plans (last 2 years); •Banking and funding arrangements, to the extent that this work is not carried out by separate legal due diligence on YCH; •Taxation position, in particular its arrangements for compliance with, and reporting of, Corporation Tax, VAT and PAYE. •Pension arrangements. •Insurance arrangements. •Stock condition records. •Current development programme. •Risk management and IT arrangements. It is important to the timing of the wider project that a final financial due diligence report, summarising the work carried out and its conclusions be delivered no later than November 30th 2017.
