The West hub Territory comprises Greater Glasgow Health Board; East Dunbartonshire Council, West Dunbartonshire Council, East Renfrewshire Council, Renfrewshire Council, Glasgow City Council and Inverclyde Council; The Glasgow School of Art, Glasgow Metropolitan College trading as City of Glasgow College and other higher and further education bodies; The Scottish Fire and Rescue Service; The Scottish Police Authority; The Glasgow Housing Association Limited, Clydebank Property Company Limited, Clyde Gateway URC, Elderpark Housing Association Limited and other registered social landlords; Scottish Ambulance Service; NHS National Services Scotland; and Clyde Gateway Developments Limited and other urban regeneration bodies, all having places of business in the geographical area of the West hub Territory (the ‘participants’) and the Scottish Futures Trust (together with the participants, the ‘contracting authorities’) and their statutory successors and any organisation created as a result of a reorganisation or organisational change of the contracting authorities.The contracting authorities appointed a private sector development partner or partners to participate and invest in a public private partnership vehicle for the West hub Territory which was established between the private sector development partner and some or all of the contracting authorities (known as ‘hubco’). hubco provides (or arranges for the provision of) ‘partnering services’ in relation to the investment needs of the West hub Territory primarily to provide and deliver (or manage the provision or delivery through its supply chain) new build and refurbished facilities (‘facilities’) from which community services are delivered by one or more of the participants to the public within the territory, together with fit out and FM services in relation to such facilities or fit out and FM services for other facilities used by one or more of the participants for the provision of such community services.Community services include but are not limited to:- health (substantially primary care but may include acute); wellbeing; library services; education; children’s services; residential and social care; social housing; special needs housing; economic development; employability services; welfare rights and money advice; sports and leisure; arts and culture and other community based services (including but not limited to those provided by the police, fire and rescue, ambulance services and NHS National Services Scotland).The kinds of facilities to be built or refurbished by hubco include but are not limited to office and administrative facilities, serviced facilities, depots, workshop facilities, health facilities, education facilities, social housing, special needs housing, care homes, student accommodation, social care facilities, tourism facilities, sports and leisure facilities, swimming pools, libraries, museums, community halls and town halls.The facilities are delivered through a design, build, finance and maintain agreement, a design and build development agreement or build only (which may or may not include elements of contractor design).The partnering services provided by hubco also include but are not limited to: Partnering and collaborative working; estate management; demonstration of continuous improvement in value for money; property development; supply chain management; funding; regeneration; community involvement; strategic estate planning and service planning.As had been envisaged during the original procurement process, the private sector development partner has now entered into a shareholders’ agreement with some or all of the contracting authorities to establish hubco. hubco has entered into a partnering agreement with some or all of the participants through which the partnering services will be delivered (the ‘territory partnering agreement’). Some or all of the participants will contract with hubco (or special purpose companies which may be established by hubco), for the delivery of specific projects for facilities and/or specific facilities management services following a process set out in the territory partnering agreement.
