Merseytravel is seeking to procure a fleet of modern third rail electric vehicles for operation on the Merseyrail Electrics (MEL) network.Much work has already been undertaken in developing the business case and the suite of documents that will be required in order to carry out a successful procurement.Specialist legal support is now required to develop the project further.The key requirements of this remit are to develop further the suite of contract and procurement documents, lead the evaluation of bidder's contractual responses, participate in negotiations with bidders and to compile the suite of contract documentation, participate in the renegotiation and redrafting of the existing Concession Agreement to take account of the introduction of the new fleet.Ad hoc support may also be required through the delivery phase of the project should matters requiring specialist legal advice arise.Project DeliverablesIncluding but not limited to:— Drafting, reviewing, prequalification documents.— Advising on Business Case matters as appropriate.— Advising on procurement matters as appropriate.— Drafting, reviewing Technical Services and Spares Supply Agreements.— Drafting, reviewing Depot Services Agreements.— Drafting, reviewing Maintenance Agreements.— Drafting, reviewing Lease of Rolling Stock to the Operator.— Advising on any consequential revisions to the existing Concession Agreement.— Advising on ORR issues and legal compliance with group standards.— Drafting, reviewing, assisting on the negotiation of contractual terms.— Drafting ITN suite of documents.— Evaluating tenders and commercial response.— Advising on extension of current rolling stock lease and associated negotiations and suite of documents.— Provision of advice relating to any associated land, planning, infrastructure issues.— Other related legal support or tasks that are identified as the project develops.
