1. Introduction
1.1 These Terms
These Terms and Conditions govern your access to and use of the Tenderbase website, platform, subscription services, tender search tools, tender alerts, tender data, document access, market intelligence features, bid support services, consultancy services and any other services provided by Tenderbase.
1.2 About Tenderbase
The Services are provided by Tenderbase Ltd, a company registered in England and Wales under company number 14721045.
Tenderbase's registered office is 41 Long Lynderswood, Basildon, England, SS15 5AY. In these Terms, "Tenderbase", "we", "us" and "our" refer to Tenderbase Ltd. "Client", "you" and "your" refer to the person, business, company, organisation or other entity accessing or using the Services.
1.3 Acceptance of These Terms
By accessing the Tenderbase website, creating an account, starting a free trial, purchasing a subscription, ordering any bid support or consultancy service, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.
1.4 Business Use
The Services are intended for business, professional and organisational use. Where you access or use the Services on behalf of a company, partnership, charity, public body or other organisation, you confirm that you have authority to accept these Terms on behalf of that organisation.
In that case, the organisation will be treated as the Client under these Terms.
1.5 Services, Not Goods
Tenderbase provides digital services, subscription-based access, tender data tools, tender-management features, market intelligence and professional bid support services. Tenderbase does not sell physical goods under these Terms.
1.6 Other Applicable Policies
Your use of the Services may also be subject to our other policies, including our Privacy Policy, Cookie Policy, Acceptable Use Policy, Subscription Plan terms and any specific terms agreed for bid writing, bid review or consultancy services.
If there is any conflict between these Terms and any service-specific terms agreed in writing with you, the service-specific terms will apply only to the extent of that conflict.
1.7 Changes to These Terms
We may update these Terms from time to time. Where we make material changes, we will take reasonable steps to notify Clients, such as by email, account notification or by displaying a notice on the Website or Platform. The version of the Terms in force at the time you access or use the Services will apply to your use of the Services, unless otherwise required by law or agreed in writing.
2. About Tenderbase
2.1 Company Information
Tenderbase is operated by Tenderbase Ltd, a private limited company registered in England and Wales under company number 14721045.
The registered office of Tenderbase Ltd is 41 Long Lynderswood, Basildon, England, SS15 5AY. Tenderbase may also use trading, correspondence or support addresses shown on the Website from time to time. Any such address is a contact address only unless expressly stated to be the registered office.
2.2 What Tenderbase Provides
Tenderbase provides an online platform and related professional services to help businesses, suppliers and organisations find, track, manage and respond to public sector tender opportunities. The Services include access to tender search tools, tender alerts, tender data, tender documents, tender-management features, market intelligence, buyer and supplier insights, analytics, integrations, support tools and bid-related support services.
2.3 Digital Services
Tenderbase provides digital services and professional services. These Terms do not apply to the sale of physical goods.
Access to the Tenderbase Platform may be provided through free trials, paid subscriptions, add-on services or any other plan or service package made available by Tenderbase from time to time.
2.4 Tender Management, Market Intelligence and Bid Support
Tenderbase's services may include, depending on the plan or service purchased: tender search and tender alerts; access to tender notices, tender information and related documents; tender tracking, saved searches, folders, dashboards and workflow tools; deadline monitoring, task allocation and pipeline tracking; buyer, supplier and market intelligence; analytics and procurement insights; integrations with third-party tools; and bid writing, bid review, bid-readiness support, strategy sessions and related consultancy services.
2.5 No Public Authority Relationship
Tenderbase is not a public authority, contracting authority, procurement portal owner or buyer. Tenderbase provides access to tender-related information, tools, insights and support services to assist clients with identifying and managing tender opportunities. Unless expressly stated otherwise, Tenderbase does not issue tenders, award public contracts, control buyer decisions or guarantee the availability, accuracy, completeness or outcome of any tender opportunity.
2.6 No Guarantee of Tender Success
Tenderbase may provide tools, data, documents, alerts, insights, bid writing, bid review, consultancy and other support services. However, the Client remains responsible for deciding whether to pursue any tender opportunity, preparing and submitting tender responses, complying with buyer requirements and meeting all submission deadlines.
Tenderbase does not guarantee that the Client will be shortlisted, selected, awarded a contract or achieve any particular commercial outcome.
2.7 Contact Details
Tenderbase may be contacted using the contact details provided on the Website or as otherwise notified to the Client from time to time.
3. Definitions and Interpretation
3.1 Definitions
In these Terms, the following words and expressions have the meanings set out below:
Account means the online account created by or for the Client to access and use the Platform and Services.
Applicable Laws means all laws, statutes, regulations, codes and regulatory requirements that apply to a party or to the Services from time to time.
Authorised User means any employee, officer, contractor, consultant, agent or other representative of the Client who is authorised by the Client to access or use the Platform or Services.
Bid Support Services means any bid writing, bid review, bid editing, bid polishing, bid-readiness support, strategy session, consultancy, training or related professional service provided by Tenderbase.
Business Day means any day other than a Saturday, Sunday or public holiday in England.
Client means the person, business, company, partnership, charity, public body, organisation or other entity that creates an Account, starts a Free Trial, purchases a Subscription, orders Bid Support Services or otherwise uses the Services.
Client Data means any data, information, documents, materials, content or other items uploaded, submitted, provided or made available by or on behalf of the Client or its Authorised Users through the Platform or in connection with the Services.
Client Materials means any documents, tender responses, company information, policies, accreditations, certificates, bid drafts, supporting evidence, instructions or other materials supplied by the Client to Tenderbase for use in providing Bid Support Services.
Confidential Information means any information disclosed by one party to the other that is marked as confidential or would reasonably be understood to be confidential because of its nature or the circumstances of disclosure. This includes business, financial, technical, commercial, operational and customer information.
Content means any text, data, documents, software, graphics, reports, alerts, templates, analysis, insights, downloads, information or other material made available through the Website, Platform or Services.
Data Protection Legislation means all applicable UK data protection and privacy laws, including the UK GDPR, the Data Protection Act 2018, the Privacy and Electronic Communications Regulations 2003 and any replacement or updated legislation in force from time to time.
Deliverables means any documents, reports, written materials, bid drafts, bid reviews, comments, recommendations, templates or other outputs produced by Tenderbase for the Client as part of any Bid Support Services.
Fees means the fees, charges, subscription payments, add-on charges or other amounts payable by the Client for access to or use of the Services.
Free Trial means any free trial period offered by Tenderbase that allows the Client to access certain Services without payment for a limited period.
Initial Term means the first subscription period selected by the Client, such as a monthly, annual or fixed-term subscription period.
Intellectual Property Rights means copyright, trade marks, service marks, trade names, domain names, database rights, design rights, rights in software, rights in confidential information, know-how and all other intellectual property rights, whether registered or unregistered, anywhere in the world.
Login Details means any username, password, authentication code or other security credentials used to access the Account, Platform or Services.
Order means any order, purchase, subscription selection, online checkout, order form, proposal, quotation, email confirmation or other agreement under which the Client purchases or agrees to purchase Services from Tenderbase.
Platform means Tenderbase's online platform, dashboard, tender search tools, tender-management tools, tender alerts, market intelligence tools, analytics features, integrations and related digital services made available by Tenderbase.
Renewal Term means any subscription period that begins after the Initial Term, whether monthly, annually or otherwise.
Services means the services provided by Tenderbase, including the Website, Platform, tender search tools, tender alerts, tender data access, tender document access, tender-management tools, market intelligence, analytics, support, integrations, Bid Support Services and any other service made available by Tenderbase from time to time.
Subscription means the Client's paid access to the Platform or Services for a specified subscription period.
Subscription Plan means the package, tier, plan or level of access selected by the Client, including any limits, features, prices, billing periods or usage allowances applicable to that plan.
Tender Data means tender notices, contract opportunities, procurement information, buyer information, supplier information, award notices, deadline information, procurement history, market intelligence, analytics and other tender-related data made available through the Platform or Services.
Tender Documents means tender-related documents or materials made available through or accessed via the Platform, including ITT, RFP, RFQ, PQQ, SQ documents, specifications, notices, attachments, buyer documents and related procurement materials.
Terms means these Terms and Conditions, as updated from time to time.
Third-Party Services means any third-party website, portal, system, database, payment processor, integration, software, service or content provider used, linked to or made available in connection with the Services.
Website means the Tenderbase website available at tenderbase.co.uk and any related webpages, subdomains or online services operated by Tenderbase.
Tenderbase, we, us and our mean Tenderbase Ltd, a company registered in England and Wales under company number 14721045.
You and your mean the Client and, where applicable, any Authorised User accessing or using the Services on behalf of the Client.
3.2 Interpretation
In these Terms, unless the context requires otherwise: words in the singular include the plural and words in the plural include the singular; references to one gender include all genders; references to a person include an individual, company, partnership, limited liability partnership, charity, public body, government authority or other legal entity; references to a party mean either Tenderbase or the Client; headings are included for convenience only and do not affect interpretation; "including" and similar expressions are illustrative and do not limit the words before them; references to writing include email and electronic communications unless expressly stated otherwise; references to legislation include that legislation as amended, extended, replaced or re-enacted from time to time; references to a Website, Platform or Service include any updated, replacement or modified version of it; and any obligation on the Client not to do something includes an obligation not to permit, assist or allow any Authorised User or third party to do that thing.
3.3 Order of Priority
If there is any conflict between these Terms and any document forming part of the Client's Order, the following order of priority will apply, unless expressly agreed otherwise in writing: any specific written agreement signed by Tenderbase and the Client; any Order, proposal or quotation accepted by Tenderbase; any service-specific terms or schedule; these Terms; and any general information displayed on the Website.
3.4 Services Only
References in these Terms to the Services do not include the sale of physical goods. Tenderbase provides digital services, subscription access, tender data tools, tender-management functionality, market intelligence and professional bid support services.
4. Who These Terms Apply To
4.1 Clients and Authorised Users
These Terms apply to each Client and to each Authorised User who accesses or uses the Services on behalf of a Client. The Client is responsible for ensuring that all Authorised Users comply with these Terms.
4.2 Authority to Bind an Organisation
If you create an Account, start a Free Trial, place an Order or use the Services on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.
4.3 Business Customers Only
The Services are intended for business, professional and organisational use. By using the Services, you confirm that you are acting for purposes relating to your trade, business, craft or profession and not as a consumer. If Tenderbase expressly agrees to provide Services to an individual acting as a consumer, nothing in these Terms will limit or exclude any statutory rights that cannot lawfully be limited or excluded.
4.4 Responsibility for Authorised Users
The Client is responsible for all acts and omissions of its Authorised Users and for all use of the Account, Platform and Services through the Client's Login Details, whether authorised by the Client or not, except where caused by Tenderbase's breach of these Terms.
5. Business Use of the Services
5.1 Permitted Business Use
Tenderbase grants the Client a limited, non-exclusive, non-transferable and revocable right to access and use the Services during the applicable Free Trial, Subscription or service period for the Client's internal business purposes and subject to these Terms.
5.2 Internal Use Only
Unless expressly agreed in writing, the Client must not resell, sublicense, distribute, commercialise, provide bureau services using, or otherwise make the Platform, Tender Data, Tender Documents or Content available to third parties.
5.3 No Competitive Use
The Client must not access or use the Services to build, train, enhance, benchmark or operate a competing tender search, tender alert, procurement intelligence, market intelligence, bid support or data aggregation product or service.
5.4 Compliance with Procurement Requirements
The Client is responsible for understanding and complying with the rules, instructions, eligibility criteria, submission requirements and deadlines of each tender opportunity it chooses to pursue.
6. The Tenderbase Platform
6.1 Platform Access
Subject to the Client's compliance with these Terms and payment of applicable Fees, Tenderbase will make the Platform available to the Client in accordance with the relevant Subscription Plan or Order.
6.2 Platform Features
Platform features may include tender search, alerts, saved searches, dashboards, folders, document access, tender scoring, buyer insights, supplier insights, market analytics, pipeline tracking, collaboration tools, task allocation, deadline tracking and integrations.
6.3 Feature Availability
Feature availability may depend on the Client's Subscription Plan, usage limits, configuration, integrations, data sources, location, user permissions and technical requirements. Tenderbase may add, remove, suspend, replace or modify Platform features in accordance with these Terms.
6.4 No Dedicated Procurement Portal
The Platform is not a replacement for official buyer portals or procurement systems. Where a tender requires registration, clarification questions, submissions, document uploads or other actions through an official portal, the Client is responsible for completing those actions directly with the relevant buyer or portal.
6.5 Beta or Experimental Features
Tenderbase may make beta, trial, AI-assisted, experimental or early-access features available from time to time. Such features may be changed or withdrawn at any time and may be subject to additional limitations or disclaimers notified to the Client.
7. Services Provided by Tenderbase
7.1 General Scope
Tenderbase provides digital tender information, tender management, market intelligence and bid support services. The precise scope of Services will depend on the Subscription Plan, Order, quotation or service package selected by the Client.
7.2 Tender Search and Tender Alerts
Tenderbase may provide search tools and alerts to help the Client identify tender opportunities that appear relevant to selected regions, keywords, CPV codes, buyer profiles, industries, contract values or other criteria. Tender alerts are intended to support opportunity discovery. They do not replace the Client's own review of official procurement sources and do not guarantee that every relevant opportunity will be identified or delivered to the Client.
7.3 Tender Document Access
Tenderbase may provide access to tender details, downloadable summaries, PDFs, attachments or links to Tender Documents, subject to availability, Subscription Plan limits and applicable third-party restrictions.
Where Tender Documents originate from a buyer, public source or third-party portal, the Client must verify the latest version and any amendments through the official buyer or portal before relying on them.
7.4 Tender Management Tools
Tenderbase may provide tools for saving tenders, creating folders, assigning tasks, tracking deadlines, managing pipelines, recording internal notes, sharing tender information within a team and integrating with selected third-party systems.
7.5 Market Intelligence and Analytics
Tenderbase may provide market intelligence, buyer profiles, supplier profiles, competitor information, award notices, procurement history, pipeline information, spending patterns, analytics and other insights derived from public, third-party or internal sources.
Market intelligence and analytics are provided for general business information and decision support only. The Client is responsible for interpreting and verifying the information before making commercial decisions.
7.6 Bid Support Services
Tenderbase may provide Bid Support Services such as bid writing, bid review, bid editing, compliance checking,
bid-readiness support, strategy sessions, training and related consultancy. Additional terms may apply to Bid Support Services, including the scope, deliverables, timescales, assumptions, revision limits and Fees for the relevant service.
8. Account Registration and Security
8.1 Account Creation
To access certain Services, the Client or its Authorised Users may be required to create an Account and provide accurate, complete and up-to-date information.
8.2 Accurate Information
The Client must ensure that Account information, billing information, business profile information, contact details, keywords, CPV codes, regions, service categories and other configuration information are accurate and
kept up to date.
8.3 Login Details
The Client must keep all Login Details confidential and secure. Login Details must not be shared with unauthorised persons or used by more users than permitted under the applicable Subscription Plan.
8.4 Security Incidents
The Client must notify Tenderbase promptly if it becomes aware of any actual or suspected unauthorised access to the Account, loss of Login Details, misuse of the Platform or security incident affecting the Services.
8.5 User Management
The Client is responsible for managing Authorised Users, removing access for users who no longer require access and ensuring that user permissions are appropriate.
8.6 Suspension for Security Reasons
Tenderbase may suspend access to all or part of the Services where it reasonably believes that the Account, Login Details, Platform, data or any user may be compromised, misused or at risk.
9. Subscription Plans
9.1 Subscription Selection
The Client may subscribe to a Subscription Plan through the Website, Platform, an online checkout process, a quotation, an order form or another process approved by Tenderbase.
9.2 Plan Features and Limits
Each Subscription Plan may have different features, limits, regions, users, downloads, data access, alert settings, integrations, support levels and other allowances. The Client is responsible for selecting a plan that meets its requirements.
9.3 Changes to Plans
Tenderbase may change the names, features, limits or prices of Subscription Plans from time to time. Changes will not normally affect the Client's current paid Subscription period unless required by law, necessary for security or compliance, or agreed with the Client.
9.4 Upgrades and Downgrades
The Client may be able to upgrade or downgrade its Subscription Plan through the Platform or by contacting Tenderbase. Upgrades may take effect immediately and may require payment of additional Fees. Downgrades may take effect at the end of the current Billing Period unless Tenderbase agrees otherwise.
9.5 Usage Limits
If the Client exceeds applicable usage limits, Tenderbase may require the Client to upgrade, reduce usage, purchase add-ons or pay additional Fees. Tenderbase may also restrict excessive, abusive or automated usage.
10. Free Trial
10.1 Trial Availability
Tenderbase may offer a Free Trial to new Clients or selected users. Free Trial availability, duration, features and limits will be as stated on the Website, Platform, Order or applicable offer at the time of registration.
10.2 Trial Conditions
A Free Trial may be subject to limited features, limited data access, limited downloads, limited users, usage restrictions or other conditions. Tenderbase may refuse, suspend or withdraw a Free Trial where it reasonably believes that a person is abusing the offer, creating duplicate accounts or breaching these Terms.
10.3 No-Card Trials
Where Tenderbase offers a Free Trial without requiring payment card details, the Free Trial will not automatically become a paid Subscription unless the Client chooses a paid Subscription Plan or otherwise authorises payment.
10.4 Trials with Payment Details
Where the Client provides payment details for a Free Trial and the applicable offer clearly states that the trial will convert into a paid Subscription, the paid Subscription will begin when the Free Trial ends unless the Client cancels before the end of the trial period.
10.5 End of Trial
At the end of a Free Trial, Tenderbase may restrict or end access to trial features, data, documents, saved searches, alerts or other content unless the Client purchases a paid Subscription.
11. Fees, Payment and Invoicing
11.1 Fees
The Client must pay all Fees applicable to its Subscription Plan, add-ons, Bid Support Services or other Services. Fees are those shown on the Website, Platform, pricing page, Order, invoice, quotation or other written confirmation at the time of purchase.
11.2 VAT and Taxes
Unless stated otherwise, Fees are exclusive of VAT and any other applicable taxes, duties or charges. The Client is responsible for paying all applicable taxes unless Tenderbase is required to collect and remit them.
11.3 Payment Method
Payments may be processed through Stripe or another payment processor selected by Tenderbase. The Client authorises Tenderbase and its payment processor to charge the payment method provided for the applicable Fees, renewals, add-ons and other authorised charges.
11.4 Payment Card Data
Tenderbase does not intend to store full payment card details on its own systems. Payment card details are handled by the payment processor. Tenderbase may store limited billing information, payment status information, invoice records, transaction identifiers and payment tokens as needed to administer the Services.
11.5 Invoices and Receipts
Tenderbase may issue invoices, receipts or payment confirmations electronically. The Client is responsible for ensuring that billing details and invoice information are accurate and up to date.
11.6 Failed Payments
If payment fails, Tenderbase may retry payment, notify the Client, restrict access, suspend Services or terminate the Subscription. The Client remains responsible for all unpaid Fees.
11.7 Late Payment
If any Fees are overdue, Tenderbase may charge interest and reasonable recovery costs to the extent permitted by law, suspend access to the Services and withhold Deliverables until payment is received.
11.8 Price Changes
Tenderbase may change Fees from time to time. For recurring Subscriptions, any price increase will normally apply from the next Renewal Term after reasonable notice has been given to the Client, unless the Client cancels before renewal.
12. Automatic Renewal
12.1 Renewal of Subscriptions
Unless cancelled in accordance with these Terms or unless the applicable Order states otherwise, paid Subscriptions renew automatically for successive Renewal Terms of the same length as the expiring term or as otherwise stated in the Order.
12.2 Renewal Charges
Tenderbase may charge the Client's authorised payment method for each Renewal Term on or around the renewal date. If a payment date falls on a non-Business Day, payment may be processed on the next Business Day.
12.3 Renewal Notices
Tenderbase will provide renewal information and reminders where required by Applicable Laws or where otherwise stated on the Website, Platform or Order.
12.4 Cancellation Before Renewal
The Client is responsible for cancelling a Subscription before the renewal date if it does not wish the Subscription to renew. Cancellation methods are set out in these Terms and may include cancellation through the Platform or by contacting Tenderbase support.
13. Cancellation of Subscription
13.1 How to Cancel
The Client may cancel a Subscription through the "My Subscription" or equivalent account area where available, or by contacting Tenderbase using the support contact details provided on the Website. Tenderbase may require reasonable verification before acting on a cancellation request.
13.2 Effect of Cancellation
Unless Tenderbase agrees otherwise or Applicable Laws require otherwise, cancellation stops future renewals but does not automatically refund Fees already paid. Access to paid Services will usually continue until the end of the current paid Billing Period or fixed term.
13.3 Fixed-Term Commitments
If the Client purchases a fixed-term Subscription, annual plan or committed service package, the Client remains responsible for the Fees for the full committed term unless these Terms, the Order or Applicable Laws provide otherwise.
13.4 Cancellation of Add-ons
Cancellation of a Subscription may also cancel or restrict access to add-ons, integrations, alerts, saved searches, data exports or other dependent Services. Some add-ons or Bid Support Services may have separate cancellation rules.
13.5 Data After Cancellation
After cancellation, expiry or termination, Tenderbase may disable access to the Account and may delete or anonymise Client Data in accordance with its data retention practices and Privacy Policy. The Client should export any required information before cancellation or expiry where export functionality is available.
14. Refunds
14.1 General Position
Except where required by law or expressly agreed in writing, paid Subscription Fees and Fees for Services already started, provided or made available are non-refundable.
14.2 Subscription Refunds
Cancellation of a Subscription prevents future renewal charges but does not entitle the Client to a refund for the current Billing Period, annual term or fixed term, unless Tenderbase agrees otherwise or Applicable Laws require otherwise.
14.3 Bid Support Refunds
Fees for Bid Support Services are non-refundable once work has started, unless Tenderbase materially fails to provide the agreed service and does not remedy that failure within a reasonable period after receiving written notice from the Client.
14.4 Credits
Tenderbase may, at its discretion, offer account credits, service extensions, alternative support or partial refunds. Any such action does not create an obligation to provide the same remedy in another case.
14.5 Mandatory Rights
Nothing in this Refunds section limits any statutory right, remedy or refund entitlement that cannot lawfully be excluded or restricted.
14.6 Same-Day Cancellation
If a Client cancels a Subscription on the same day as purchase or within any short period after purchase, the refund position will be determined in accordance with this Section 14. Unless required by law or expressly agreed by Tenderbase in writing, no refund will be due where access to the Platform, Tender Data, Tender Documents, alerts, downloads, market intelligence or other paid Services has already started, been provided or been made available to the Client. Cancellation will prevent future renewal charges but will not refund the current Billing Period, annual term or fixed-term commitment.
14.7 Cancellation Before Work Starts
If the Client cancels a Bid Support Service before Tenderbase has started work, Tenderbase may refund the relevant Fee, less any reasonable administrative, payment processing or onboarding costs already incurred. Once work has started, clause 14.3 will apply.
15. Client Responsibilities
15.1 General Responsibilities
The Client must use the Services lawfully, professionally and in accordance with these Terms, the applicable Order, any instructions provided by Tenderbase and all Applicable Laws.
15.2 Client Information
The Client must provide accurate, complete and timely information needed for Tenderbase to provide the Services, including business profile information, tender requirements, deadlines, Client Materials, billing details and instructions.
15.3 Tender Decisions
The Client remains solely responsible for deciding which tenders to pursue, assessing suitability and eligibility, reviewing buyer requirements, asking clarification questions, preparing submissions, submitting bids and monitoring submission deadlines.
15.4 Review of Outputs
The Client must review all Tender Data, Tender Documents, alerts, reports, Deliverables, bid drafts, recommendations and other outputs before relying on them or submitting them to a buyer.
15.5 Legal and Professional Advice
The Client is responsible for obtaining legal, financial, insurance, tax, procurement or other professional advice where needed. Tenderbase does not provide legal advice and no part of the Services should be treated as a substitute for professional advice.
15.6 Backups
The Client is responsible for keeping copies of important Client Materials, tender submissions, evidence documents and other business records. Tenderbase is not a document archive for the Client unless expressly agreed in writing.
16. Acceptable Use of the Platform
16.1 Acceptable Use
The Client must comply with the Acceptable Use Policy in Schedule 3 and any reasonable technical, security or usage instructions issued by Tenderbase.
16.2 Prohibited Activities
The Client must not misuse the Platform, interfere with its operation, bypass access controls, scrape or harvest data, use bots or automated extraction tools, upload harmful code, attempt unauthorised access or use the Services for unlawful, fraudulent, misleading, abusive or harmful purposes.
16.3 Data Extraction
Unless expressly allowed by the applicable Subscription Plan or agreed in writing, the Client must not conduct bulk downloading, scraping, copying, caching, database building, data mining or automated extraction of Tender Data, Tender Documents or Content.
16.4 Monitoring and Enforcement
Tenderbase may monitor Platform usage for security, compliance, capacity planning, support and service improvement purposes. Tenderbase may suspend, restrict or terminate access where it reasonably believes there has been misuse or breach of these Terms.
17. Tender Data, Documents and Third-Party Information
17.1 Sources of Tender Data
Tender Data and Tender Documents may be collected from, linked to, obtained from or derived from public sources, buyer portals, procurement notices, third-party databases, official publications, APIs, Client settings, internal processing and other sources.
17.2 No Warranty of Completeness
Tenderbase aims to provide useful and reliable information, but it does not warrant that Tender Data, Tender Documents, alerts, deadlines, buyer information, supplier information or market intelligence will be complete, current, uninterrupted, error-free or suitable for any particular tender decision.
17.3 Official Sources
Before acting on any tender opportunity, the Client must check the relevant official buyer notice, procurement portal and Tender Documents for the latest information, updates, amendments, clarification responses and submission instructions.
17.4 Changes and Withdrawals
Tender opportunities may be amended, extended, cancelled, withdrawn, suspended or re-issued by buyers or public authorities without notice to Tenderbase. Tenderbase is not responsible for buyer decisions, portal failures or changes to third-party information.
17.5 Third-Party Rights and Restrictions
Some Tender Data, Tender Documents, links or third-party materials may be subject to third-party terms, copyright, database rights, portal restrictions or licence conditions. The Client must comply with any such restrictions when accessing or using them.
18. No Guarantee of Tender Success
18.1 No Outcome Guarantee
Tenderbase does not guarantee that the Client will find suitable tenders, qualify for a tender, be shortlisted, pass a selection stage, win a contract, achieve a particular score, generate revenue or obtain any commercial outcome.
18.2 Client Responsibility
Tender outcomes depend on many factors outside Tenderbase's control, including buyer requirements, competition, pricing, quality, eligibility, compliance, evaluation criteria, market conditions and the Client's own information and performance.
18.3 Estimates and Analytics
Any scores, predictions, estimates, market analysis, AI-generated suggestions, opportunity ratings, probability assessments or strategic recommendations are indicative only and should not be treated as guarantees or professional advice.
19. Bid Writing, Bid Review and Consultancy Services
19.1 Scope of Engagement
The scope of any Bid Support Services will be set out in the relevant Order, quotation, proposal, email confirmation or service description. The Client must ensure that the scope meets its requirements before placing an Order.
19.2 Client Materials and Cooperation
The Client must provide all Client Materials, answers, evidence, policies, certificates, pricing, case studies, technical information and other inputs reasonably required by Tenderbase in sufficient time to perform the Bid Support Services.
19.3 Deadlines
The Client must notify Tenderbase of all relevant buyer deadlines, clarification deadlines, internal review deadlines and submission deadlines. Tenderbase is not responsible for missed deadlines where the Client provides late, incomplete or inaccurate information or where deadlines are not notified to Tenderbase in writing.
19.4 Drafts and Revisions
Unless the Order states otherwise, Bid Support Services include a reasonable number of revisions within the agreed scope. Requests outside the agreed scope, after approval, after submission or after a stated deadline may be treated as additional work and may incur additional Fees.
19.5 Client Approval
The Client is responsible for reviewing, approving and submitting all Deliverables and tender responses. Tenderbase will not submit a bid on behalf of the Client unless expressly agreed in writing.
19.6 No Legal or Technical Certification
Bid Support Services do not include legal advice, certification of technical compliance, insurance advice, tax advice, financial advice or verification of the Client's ability to perform a contract unless expressly agreed in writing.
19.7 Reliance on Client Information
Tenderbase is entitled to rely on the accuracy, completeness and suitability of Client Materials and instructions. Tenderbase is not responsible for errors, omissions or weaknesses in Deliverables caused by incomplete, inaccurate or late Client Materials or instructions.
20. Intellectual Property Rights
20.1 Tenderbase Intellectual Property
Tenderbase and its licensors own all Intellectual Property Rights in the Website, Platform, software, databases, data structures, know-how, methods, search tools, algorithms, analytics, templates, Content, branding, logos, trade marks and materials created independently of any Client-specific engagement.
20.2 Client Materials
The Client or its licensors retain ownership of Intellectual Property Rights in Client Materials. The Client grants Tenderbase a licence to use, copy, process, adapt and disclose Client Materials as necessary to provide the Services, support the Account, comply with these Terms and meet legal obligations.
20.3 Deliverables
Subject to full payment of all applicable Fees, Tenderbase assigns to the Client the copyright in Client-specific text and documents created by Tenderbase specifically for the Client as final Deliverables for a paid Bid Support Service, except for Tenderbase's pre-existing materials, templates, methodologies, tools, know-how and generic content.
20.4 Licence to Pre-existing Materials
Where Deliverables include Tenderbase pre-existing materials, templates, formats, know-how or generic content, Tenderbase grants the Client a non-exclusive, perpetual licence to use those elements solely as part of the relevant Deliverables for the Client's internal business purposes and tender submissions.
20.5 Feedback
If the Client provides feedback, suggestions or ideas about the Services, Tenderbase may use them without restriction or compensation, provided that Tenderbase does not disclose the Client's Confidential Information in doing so.
21. Use of Tenderbase Content and Materials
21.1 Permitted Use
During the applicable Subscription or service period, the Client may access and use Tenderbase Content, Tender Data, Tender Documents, reports, templates and downloads for its internal business purposes and for evaluating and responding to tender opportunities.
21.2 Restrictions
The Client must not copy, publish, sell, resell, distribute, sublicense, disclose, commercialise, scrape, aggregate, reverse engineer, decompile, modify or create derivative databases from Tenderbase Content except to the extent expressly permitted by these Terms or the applicable Subscription Plan.
21.3 Notices and Branding
The Client must not remove copyright notices, trade mark notices, proprietary notices or source attributions from Tenderbase Content, Tender Data, Tender Documents or Deliverables unless authorised by Tenderbase or required for a tender submission.
21.4 Publicity
Tenderbase must not use the Client's name, logo or case study for public marketing without the Client's consent, except that Tenderbase may identify the Client internally and in confidential business records. The Client must not use Tenderbase's name, logo or branding without Tenderbase's prior written consent.
22. Third-Party Websites, Portals and Services
22.1 Third-Party Services
The Services may include links, integrations, data, documents or access to Third-Party Services, including buyer portals, procurement websites, CRM systems, collaboration tools, payment processors, messaging services and analytics services.
22.2 Third-Party Terms
Use of Third-Party Services may be subject to separate third-party terms, privacy policies and charges. The Client is responsible for complying with those terms and for maintaining any third-party accounts required to use integrations or official procurement portals.
22.3 No Responsibility for Third Parties
Tenderbase is not responsible for the availability, security, accuracy, legality, performance or content of Third-Party Services, or for any act, omission, decision, failure or delay of a third party.
22.4 Integrations
Where the Client enables integrations, the Client authorises Tenderbase to exchange relevant data with the selected Third-Party Services as necessary to provide the integration. Tenderbase may disable integrations where required for security, compliance, maintenance or third-party changes.
23. Availability, Maintenance and Service Changes
23.1 Availability
Tenderbase will use reasonable skill and care to make the Platform available, but does not guarantee uninterrupted, error-free or continuous availability. The Services may be affected by maintenance, updates, internet issues, third-party failures, security incidents or events outside Tenderbase's reasonable control.
23.2 Maintenance
Tenderbase may perform planned or emergency maintenance, updates, fixes, upgrades, security work or changes to the Platform. Tenderbase will use reasonable efforts to minimise disruption where practicable.
23.3 Service Changes
Tenderbase may improve, modify, replace, suspend or discontinue any part of the Services. Where a material change significantly reduces the core functionality of a paid Subscription during its current term, Tenderbase will use reasonable efforts to provide notice or an appropriate alternative remedy.
23.4 Support
Tenderbase may provide support through email, tickets, the Website, the Platform or other channels notified from time to time. Support availability, response times and channels may depend on the Subscription Plan or service purchased.
23.5 Security
Tenderbase will use reasonable technical and organisational measures designed to protect the Platform and Client Data. However, no online service can be guaranteed to be completely secure or free from vulnerabilities.
24. Data Protection and Privacy
24.1 Privacy Policy
Tenderbase will process personal data in accordance with its Privacy Policy and applicable Data Protection Legislation. The Privacy Policy explains how Tenderbase collects, uses, stores and shares personal data.
24.2 Client Responsibilities
The Client must ensure that it has all necessary rights, notices, permissions and lawful bases to provide personal data to Tenderbase and to allow Tenderbase to process it for the purpose of providing the Services.
24.3 Data Processing Terms
Where Tenderbase processes personal data on behalf of the Client as a processor, the Data Processing Terms in Schedule 4 will apply. Where Tenderbase determines the purposes and means of processing, Tenderbase will act as controller.
24.4 Sensitive Information
The Client must not upload or provide special category personal data, criminal offence data, highly confidential personal data, payment card numbers or other sensitive information unless necessary for the Services and expressly agreed by Tenderbase or permitted by the Platform.
24.5 Analytics and Service Improvement
Tenderbase may collect and use aggregated, statistical or anonymised information about use of the Services to operate, secure, improve and develop the Services, provided that such information does not identify the Client or any individual.
25. Confidentiality
25.1 Confidentiality Obligation
Each party must keep the other party's Confidential Information confidential and must not use or disclose it except as permitted by these Terms, required to perform the Services, authorised by the disclosing party or required by law.
25.2 Permitted Disclosure
A party may disclose Confidential Information to its employees, officers, contractors, professional advisers, insurers, auditors, group companies, subcontractors and service providers who need to know it for the purposes of these Terms and who are subject to confidentiality obligations.
25.3 Exclusions
Confidential Information does not include information that is or becomes public other than through breach of these Terms, was lawfully known before disclosure, is received lawfully from a third party without confidentiality restrictions, or is independently developed without use of the other party's Confidential Information.
25.4 Duration
The confidentiality obligations in this section continue for five years after termination or expiry of the relevant Services, or for as long as the information remains a trade secret or is protected by law.
26. Suspension or Termination of Access
26.1 Suspension by Tenderbase
Tenderbase may suspend or restrict access to all or part of the Services if the Client fails to pay Fees, breaches these Terms, misuses the Services, creates a security risk, exceeds usage limits, provides false information, infringes third-party rights or if suspension is required by law or a third party.
26.2 Termination for Breach
Either party may terminate a Subscription, Order or these Terms by written notice if the other party commits a material breach and, where the breach can be remedied, fails to remedy it within 14 days after receiving written notice requiring remedy.
26.3 Immediate Termination
Tenderbase may terminate access immediately if the Client commits a serious breach, uses the Services unlawfully, attempts unauthorised access, infringes Tenderbase's rights, becomes insolvent or presents a material security, legal or reputational risk.
26.4 Effect of Termination
On termination or expiry, the Client's right to access and use the Services ends. The Client must stop using Tenderbase Content except for Deliverables and materials that the Client is expressly permitted to retain. Fees accrued before termination remain payable.
26.5 Survival
Clauses that by their nature should survive termination will continue to apply, including clauses on payment, confidentiality, intellectual property, data protection, disclaimers, limitation of liability, indemnity, governing law and jurisdiction.
27. Disclaimers
27.1 General Disclaimer
The Services are provided with reasonable skill and care. Except as expressly stated in these Terms, and to the maximum extent permitted by law, Tenderbase excludes all implied warranties, conditions, representations and terms that may apply to the Services.
27.2 Information Disclaimer
Tenderbase does not warrant that Tender Data, Tender Documents, alerts, analytics, market intelligence, buyer information, supplier information, scoring, recommendations or other Content will be accurate, complete, up to date, uninterrupted or suitable for the Client's particular purposes.
27.3 AI-Assisted Features
AI-assisted, automated or algorithmic features may produce inaccurate, incomplete or unsuitable outputs. The Client must independently review and verify all outputs before relying on them.
27.4 No Professional Advice
The Services do not constitute legal, financial, tax, insurance, technical certification or procurement-law advice. Any guidance provided is general business support only unless expressly agreed in writing.
27.5 No Guarantee of Revenue or Contracts
Tenderbase does not guarantee tender success, contract awards, revenue, business growth, savings, rankings, scoring outcomes, buyer engagement or return on investment.
28. Limitation of Liability
28.1 Unlimited Liability
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, any liability that cannot lawfully be limited or excluded, or any other matter for which liability may not lawfully be excluded or restricted.
28.2 Excluded Losses
Subject to clause 28.1, Tenderbase will not be liable for loss of profits, loss of revenue, loss of business, loss of contract, loss of anticipated savings, loss of goodwill, loss of opportunity, loss of reputation, loss or corruption of data, wasted expenditure, or indirect, special or consequential loss.
28.3 Liability Cap
Subject to clause 28.1, Tenderbase's total aggregate liability arising out of or in connection with these Terms, any Order and the Services, whether in contract, tort, negligence, breach of statutory duty, misrepresentation, restitution or otherwise, will be limited to the total Fees paid by the Client to Tenderbase for the relevant Services in the 12 months immediately preceding the event giving rise to the claim.
28.4 Free Services
For Free Trials, free accounts, free content or Services provided without charge, Tenderbase's total liability will be limited to £100, subject to clause 28.1.
28.5 Client Responsibilities
Tenderbase will not be liable for losses arising from the Client's failure to verify information, monitor official portals, meet tender deadlines, comply with buyer requirements, maintain backups, maintain secure Login Details or provide accurate and timely Client Materials.
28.6 Reasonableness
The parties agree that the exclusions and limitations in these Terms are reasonable in light of the nature of the Services, the availability of insurance, the Fees charged and the Client's responsibility for final tender decisions and submissions.
29. Indemnity
29.1 Client Indemnity
The Client will indemnify Tenderbase against all losses, damages, liabilities, claims, costs and expenses arising from or in connection with: Client Data or Client Materials; the Client's breach of these Terms; misuse of the Services by the Client or its Authorised Users; infringement of third-party rights by Client Materials; unlawful processing of personal data caused by the Client; or the Client's tender submissions and contractual commitments to buyers.
29.2 Tenderbase Conduct of Claims
Tenderbase will notify the Client of any indemnified claim as soon as reasonably practicable and will provide reasonable cooperation at the Client's cost. Tenderbase may control or participate in the defence of any claim that may affect its rights, reputation, data or Services.
29.3 Mitigation
Each party must take reasonable steps to mitigate losses that may arise from a breach of these Terms.
30. Changes to These Terms
30.1 Updates
Tenderbase may update these Terms from time to time to reflect changes in the Services, legal requirements, security requirements, business practices, third-party services or operational needs.
30.2 Notice of Material Changes
Where Tenderbase makes material changes that affect an existing paid Subscription, Tenderbase will take reasonable steps to notify the Client, such as by email, account notification or a notice on the Website or Platform.
30.3 Continued Use
The Client's continued use of the Services after updated Terms take effect will constitute acceptance of the updated Terms. If the Client does not agree to the updated Terms, the Client must stop using the Services and may cancel in accordance with these Terms.
30.4 Current Version
The current version of these Terms will be made available on the Website or by request.
31. Complaints and Customer Support
31.1 Support Requests
The Client may contact Tenderbase for support using the support details provided on the Website, Platform or Order. The Client should provide sufficient information for Tenderbase to investigate the request.
31.2 Complaints
If the Client is dissatisfied with the Services, the Client should notify Tenderbase in writing, explain the issue and provide relevant details. Tenderbase will use reasonable efforts to review and respond to complaints within a reasonable period.
31.3 Good Faith Resolution
The parties will attempt to resolve disputes in good faith through discussion between appropriate representatives before starting formal proceedings, except where urgent court action is needed to protect rights, data, confidentiality or intellectual property.
31.4 Alternative Dispute Resolution
Tenderbase may consider mediation or another appropriate form of alternative dispute resolution where suitable, but is not required to use any particular ADR provider unless required by law or agreed in writing.
32. Notices
32.1 Notices to Tenderbase
Formal notices to Tenderbase must be sent by email to the contact email shown in clause 39 or by post to Tenderbase's registered office, unless Tenderbase has provided a different notice address in writing.
32.2 Notices to the Client
Tenderbase may send notices to the Client by email, through the Account, through the Platform, by post to the address provided by the Client, or by displaying a notice on the Website or Platform.
32.3 Deemed Receipt
Email notices will be deemed received at the time of transmission if sent during business hours in England, or at 9:00 a.m. on the next Business Day if sent outside business hours, unless the sender receives a bounce-back or delivery failure notice.
32.4 Contact Details
The Client must keep its contact details up to date. Tenderbase is not responsible for missed notices where the Client has failed to maintain current contact details.
33. Assignment and Transfer
33.1 Client Assignment
The Client must not assign, transfer, charge, subcontract or deal in any other manner with its rights or obligations under these Terms without Tenderbase's prior written consent.
33.2 Tenderbase Assignment
Tenderbase may assign, transfer, subcontract or deal with its rights and obligations under these Terms to a group company, purchaser of its business, successor, service provider or subcontractor, provided that this does not materially reduce the Client's rights under these Terms.
33.3 Subcontracting
Tenderbase may use subcontractors, consultants, technology providers and service providers to provide the Services. Tenderbase remains responsible for the performance of its obligations under these Terms.
34. Force Majeure
34.1 No Liability for Events Outside Control
Neither party will be liable for delay or failure to perform its obligations where caused by events beyond its reasonable control, including internet failures, hosting failures, third-party service failures, strikes, labour disputes, acts of God, fire, flood, epidemic, pandemic, war, terrorism, civil unrest, government action, legal restrictions, power failure or cyber incidents beyond reasonable control.
34.2 Mitigation and Notice
The affected party must take reasonable steps to reduce the effect of the force majeure event and resume performance as soon as reasonably practicable.
34.3 Payment Obligations
A force majeure event does not excuse the Client's obligation to pay Fees that became payable before the event or that relate to Services already provided.
35. Severance
35.1 Invalid Terms
If any provision of these Terms is found by a court or competent authority to be invalid, unlawful or unenforceable, that provision will be deemed modified to the minimum extent necessary to make it valid, lawful and enforceable.
35.2 Remaining Terms
If modification is not possible, the relevant provision will be treated as deleted. The validity and enforceability of the remaining provisions will not be affected.
36. Waiver
36.1 No Automatic Waiver
A delay or failure by either party to exercise any right or remedy under these Terms will not operate as a waiver of that right or remedy.
36.2 Specific Waiver
A waiver of any right or remedy will be effective only if given in writing and will apply only to the circumstances for which it is given.
37. Entire Agreement
37.1 Entire Agreement
These Terms, together with the applicable Order, Subscription Plan, service-specific terms and policies referenced in these Terms, constitute the entire agreement between Tenderbase and the Client in relation to the Services and supersede all previous discussions, correspondence, proposals, representations and understandings relating to the same subject matter.
37.2 No Reliance
Each party acknowledges that it has not relied on any statement, representation, assurance or warranty not expressly set out in these Terms or the applicable Order. Nothing in this clause limits or excludes liability for fraud or fraudulent misrepresentation.
38. Governing Law and Jurisdiction
38.1 Governing Law
These Terms, any Order and any dispute or claim arising out of or in connection with them or the Services are governed by the laws of England and Wales.
38.2 Jurisdiction
The courts of England and Wales have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, any Order or the Services, except where Applicable Laws provide otherwise.
38.3 Injunctive Relief
Nothing in these Terms prevents either party from seeking urgent injunctive or equitable relief in any court of competent jurisdiction to protect confidentiality, intellectual property, data security or access to systems.

S1.1 Plan Changes
Tenderbase may update Subscription Plan names, features, allowances and Fees from time to time. Where a change materially affects an existing paid Subscription during its current term, Tenderbase will use reasonable efforts to notify the Client or provide an appropriate transition.
S1.2 Fair Usage
Tenderbase may apply fair usage controls to protect the Platform, prevent misuse and ensure reliable service for all users. Excessive, automated or abnormal usage may be restricted or require an upgraded plan.
S1.3 No Transfer Between Clients
Subscription access is granted to the Client named in the Account or Order and may not be shared with or transferred to another business without Tenderbase's prior written consent.
Schedule 2 - Bid Support Services
S2.1 Scope
Bid Support Services may include bid writing, bid review, editing, polishing, compliance review, bid-readiness support, strategy sessions, training, tender document support, end-to-end bid support and related consultancy. The agreed scope will be stated in the relevant Order or written confirmation.
S2.2 Client Inputs
The Client must provide complete and accurate inputs in good time, including tender documents, buyer instructions, company information, evidence, technical content, pricing, policies, accreditations, case studies and review comments. Tenderbase may pause work or revise deadlines if required inputs are late or incomplete.
S2.3 Turnaround Times
Any turnaround time or delivery date is an estimate unless expressly stated to be binding in the Order. Turnaround times depend on the Client providing all necessary materials and feedback promptly.
S2.4 Revisions
Unless the Order states otherwise, Bid Support Services include reasonable revisions within the original agreed scope. Additional revisions, major changes of direction, new buyer requirements, new lots, additional questions or urgent out-of-hours work may be charged separately.
S2.5 Submission
The Client remains responsible for final review, approval and submission of all bids and tender responses. Tenderbase will submit a bid or upload documents only where expressly agreed in writing and where the Client provides access and instructions in sufficient time.
S2.6 Confidentiality and Evidence
Tenderbase will handle Client Materials as Confidential Information. The Client is responsible for ensuring that evidence and claims made in a bid are accurate, supportable and capable of being delivered if the Client wins the contract.
S2.7 No Award Guarantee
Bid Support Services are intended to improve bid quality, clarity and compliance, but Tenderbase does not guarantee any score, shortlist, contract award, buyer decision or commercial outcome.
Schedule 3 - Acceptable Use Policy
S3.1 Lawful Use
The Client must use the Services only for lawful business purposes and in accordance with Applicable Laws, these Terms and any reasonable instructions issued by Tenderbase.
S3.2 Security
The Client must not attempt to access accounts, systems, data or areas of the Platform that it is not authorised to access. The Client must not test, scan, probe, bypass or undermine security controls without written authorisation.
S3.3 Automated Access
The Client must not use bots, scripts, crawlers, scrapers, spiders, automated downloads, data mining tools or similar methods unless expressly permitted by Tenderbase in writing.
S3.4 Harmful Code
The Client must not upload, transmit or introduce viruses, malware, ransomware, trojans, worms, logic bombs or other harmful code.
S3.5 Abusive Behaviour
The Client must not use the Services to harass, threaten, defame, mislead, impersonate, discriminate, abuse or harm any person.
S3.6 Unlawful Content
The Client must not upload or share content that is unlawful, infringing, fraudulent, malicious, obscene, defamatory or otherwise harmful.
S3.7 Data Misuse
The Client must not misuse Tender Data, Tender Documents or Content, or use them to create a competing service, sell data to third parties or breach third-party rights.
S3.8 Excessive Use
The Client must not use the Platform in a way that overloads, damages, disrupts or impairs the Services or other users' access.
S3.9 Reporting
The Client must promptly report any suspected vulnerability, security issue, unauthorised access or misuse of the Services to Tenderbase.
S3.10 Enforcement
Tenderbase may remove content, restrict features, suspend access, terminate accounts or take other reasonable action where it believes this Acceptable Use Policy has been breached.
Schedule 4 - Data Processing Terms
This Schedule applies only to the extent that Tenderbase processes personal data on behalf of the Client as processor under Data Protection Legislation. Terms such as controller, processor, personal data, processing, data subject, personal data breach and supervisory authority have the meanings given in Data Protection Legislation.
S4.1 Subject Matter and Duration
The subject matter of processing is the provision of the Services. The duration of processing is the term of the relevant Account, Subscription, Order or Bid Support Service, plus any period needed for retention, deletion, audit, legal compliance or dispute resolution.
S4.2 Nature and Purpose
Tenderbase may process personal data to provide, operate, configure, support, secure, monitor and improve the Services; manage Accounts and Authorised Users; provide alerts and integrations; deliver Bid Support Services; communicate with the Client; and comply with these Terms.
S4.3 Categories of Personal Data
Personal data may include names, work email addresses, telephone numbers, job titles, company details, user IDs, login and usage data, communications, support requests, tender-related contact details, bid content and any personal data included in Client Materials.
S4.4 Categories of Data Subjects
Data subjects may include Client employees, officers, contractors, consultants, Authorised Users, customer contacts, supplier contacts, buyer contacts, referees, case study contacts and other individuals whose data is included in Client Materials or Platform usage.
S4.5 Client Instructions
Tenderbase will process personal data only on documented instructions from the Client, including these Terms, the Order and the Client's use and configuration of the Services, unless required to do so by law.
S4.6 Confidentiality
Tenderbase will ensure that persons authorised to process personal data are subject to appropriate confidentiality obligations.
S4.7 Security Measures
Tenderbase will implement appropriate technical and organisational measures designed to protect personal data against unauthorised or unlawful processing and against accidental loss, destruction, damage, alteration or disclosure, taking into account the nature of the data, the risks and the state of the art.
S4.8 Sub-processors
The Client authorises Tenderbase to use sub-processors to provide the Services, including hosting, infrastructure, payment, communications, support, analytics, security, storage and professional service providers. Tenderbase will ensure that sub-processors are subject to written terms that provide appropriate protection for personal data.
S4.9 International Transfers
Tenderbase will not transfer personal data outside the United Kingdom or European Economic Area unless it has an appropriate lawful transfer mechanism in place where required by Data Protection Legislation.
S4.10 Data Subject Requests
Taking into account the nature of the processing, Tenderbase will provide reasonable assistance to the Client in responding to data subject requests, where the Client cannot reasonably respond without Tenderbase's assistance.
S4.11 Personal Data Breaches
Tenderbase will notify the Client without undue delay after becoming aware of a personal data breach affecting personal data processed on behalf of the Client and will provide reasonable information and assistance required by Data Protection Legislation.
S4.12 Deletion or Return
At the end of the Services, Tenderbase will delete or return personal data processed on behalf of the Client, unless retention is required by law, needed for legitimate business records, required for dispute resolution or permitted under these Terms.
S4.13 Audit and Information
Tenderbase will make available information reasonably necessary to demonstrate compliance with this Schedule, subject to reasonable confidentiality, security, timing and access restrictions. Any audit must not disrupt Tenderbase's business, compromise other clients or require disclosure of commercially sensitive information.
S4.14 Client Compliance
The Client remains responsible for its own compliance with Data Protection Legislation, including transparency notices, lawful bases, data minimisation, accuracy, retention, rights requests and instructions given to Tenderbase.
